Directors of pvt ltd company want to resign - procedure ?

25 April 2012 Hello everyone,

x pvt ltd is a company in which Mr. x and Mrs.x are directors.

both are going abroad permanently. what are the procedure for resignation of above directors and appointment of new directors.

25 April 2012 Directors can resign by giving resignation letter in writing to the company. New directors can be appointed by calling EGM and following the procedure u/s 257 of companies Act,1956.

Before going abroad, I will suggest you to appoint new additional director to comply other provisions of the Company by the said directors.

Resignation of Director

There are following procedure for filling of document with regard to resignation of director:

1. Check DIN-3 of such director are already filed with ROC
2. Download Form-32 from www.mca.gov.in
3. Fill up the form -32 and attached copy of resignation of director, if any
4. Upload Form-32 with www.mca.gov.in
5. Make payment of Challan
6. You must check whether form is approved by ROC
