06 July 2012 dear sir/madam,

there are three board of directors in a company, they want to designate one of the director as a chairman, plz tell me is there any legal process of appointing a director as a chairman.

06 July 2012 Genrally Articles of Association of the company lay down the procedure for the election of the chairman. Check the Articles of Association. Else The members personally present at the meeting may elect one of themselves to be the chairman of the meeting if the Company's articles are silent as to the chairman- Section 175 of the Companies Act, 1956.
