Director not forming part of the board

Can a person be appointed as a director but not as a part of the board of director. Please let me know the relevant provision of the Companies Act, 1956 with respect to such an appointment.

Yes, you can do, but for this there is no need to file Form-32 with ROC and no need to includes in number of directors it will be treated as designation for the specific department.
