Regular Director has to be appointed in a General Meeting only. The Board cannot appoint a regular director in a board meeting.

Agreed. Board cannot appoint regular director. The Board can appoint additional director.

By following the procedure given in section 257 you may appoint your regular director in a general meeting only.
