29 July 2012 first director is retiring director or not? whether under section 257 he has to file his own nomination or bord compulsorily proposes his reappointment

29 July 2012 First directors are not retiring directors since they can only hold office until the directors are duly appointed in accordance with the section 255. Hence section 257 applies to 1st directors meaning thereby the intention seeking appointment should be informed to the company by giving 14 days notice before the general meeting.
