direct appointment of director

I am private limited company, I want to appoint Director, whether I can appoint executive director in the Board meeting itself or else i have to first appoint Additional Director in the Board Meeting which will further confirmed by members EGM or AGM to appoint as Executive Director. 2ndly, whether F.32 needs to be filed on every time of appointment.

Form 32 is to be filed on every appointment. However, there is no need to file a fresh Form 32 on regularisation of an additional director in the general meeting.

For the appointment of directors you may go through the provisions of the Articles of Association of the company and act accordingly.
