19 April 2016 What will happen if the AGM has not been held by the Company for the Past two Years from the date of appointment of Additional directors?

i.e. Addl Directors Appointed in Feb.2014 But there is no AGM Conducted after that.

Whether they can continue or automatically appointment will be expired ?

Is it possible to appoint an additional directors for a period of 2 years at the time appointing?

21 April 2016 tenure of additional director is upto the conclusion of agm or last date on which agm should have been held which ever is earlier . so additional director cannot hold office after that.

21 April 2016 A co cannot appoint additional director for 2 year because provision for tenure of additional director provided in co act 13

10 May 2016 He will cease to be a Director on the date of AMG or the date on which the AGM should be held after his appointment as Additional Director.
As the tenure of Additional Director automatically ceased on the date of AGM or the date on which the AGM should be held.
