HI,
Whenever i go through any companies annaul report , i find a statement on "Corporate Governance" can you pls tell me what is that,and why is it given along with reference to the relevant section of the companies act.

Please go through the Clause 49 of the Listing Agreement. There are various diclosures to be made to the investors periodically. It is SEBI and not in Companies Act.

it is the disclosure/ information that needs to be given by the Company to the investors. It is an investor safeguard measure wherein there is an informed investing by the investors in the Company.
Investors would mean all stake holders of the company from equity, debt, to other third parties who would use the financials
