Converting private ltd company into public ltd company

22 June 2013 Dear Experts ,

I am working in a private limited company as a consultant.
I have been approached by its directors to convert that private limited company into public limited company.

further that proposed public limited company will be unlisted.

Brief of that private limited company:
* Members :3
* Directors:3
* Share Capital: Rs.1,00,000
* Directors and Members are the same individuals.

So dear experts please guide me on the same issue.

what are the forms and procedures ?

22 June 2013 Dear, Ajay Sir

I have perused your article. but still not cleared totally .

hence , so consequently in regard to my company the steps may be as follows:

1. To increase share capital of the company up to Rs.5 lacs Form 5

2. To increase members up to 7 Form 2

3. to know the reason for such conversion

4. to convene Board meeting for name change and AOa CHANGE

5. to convene an EGM FOR acceptance from members

6. to alter MOA and AOA

7. Form 23

8. Form 62

is this okay sir or if any change is required to be made then please let me know sir.

But increase members by filing Form-2 with ROC by alloting shares.

No need to file Form-32 for increasing members.
