Company Incorporation Procedure in Detail
a. Get DINs of all the directors: - Log on to www.mca.gov.in, get into MCA 21 Portal > Download eforms > Form DIN 1. Fill in all the details in Form DIN 1 online properly from the supporting documents of Directors and submit it. Get print out of Provisional DIN Form, take sign of Directors, affix photograph, attest the forms, make online payment and send those to MCA DIN Cell, Noida.
Payment: - Create logins of all the Directors and make them registered user. For making payments of DIN login through their own Ids and make payment in Miscellaneous Payment option. You can use Credit card or Net Banking for faster payments.
Digital Signature: - Get digital signature in name of any of the director who is authorized to incorporate company. Also get your digital signature as professional chartered accountant.
After getting both digital signatures, you need to get those registered on MCA site.
b. Get Power Of Attorney duly signed by directors in your name for incorporation of company on stamp paper of Rs.100/- c. Get MOA & AOA drafted properly for filing. d. After approval of DIN of directors, you may apply for Company Name Approval to RoC by filling relevant details in Form 1A. (Approval needs approx. 3 to 4 working days. ) e. After approval file Form 1, Form 18 & Form 32 with RoC. Stamp duty is to be paid online. f. On scrutiny of Forms, you will get Certificate of Incorporation. g. Keep on checking the status of documents filed with RoC through ‘Track Transaction Status’ till it is finally disposed off.
