is it necessary for a listed company to circulate/send the accounts to be approved to the directors along with agenda note for the board meeting in which the accounts are to be approved or the same can directly be tabled in the meeting itself. kindly mention the relevant section / clause also in the reply.

Hi Nilesh,
Yes, circulation of accounts along with agenda papers is a necessary requirement in a listed company as per good corporate governance practice.
Rest is dependent on your board of directors attitude.
Since Agenda is an internal thing you may avoid the same if your directors have no objection.
If they have no objection then in that case u may directly tabled the accounts.
