CAN A PRIVATE LIMTED CO. CHANGE THE DESIGNATION OF MD WITHOUT THE CONSENT OF MD OR INFORMING MD.
WHAT ARE THE PROCEDURES REQUIRED & WAT ARE THE CONSEQUENCES?
ONLY CHANGING DESIGANTION, NOT REMOVAL OF DIRECTORSHIP.

Please check what your articles says on it. The provision of 269 dealing with MD is not applicable to private limited company. So it is govern by its article.
Generally, without the consent of the MD, you can not change the position thereof, because it is placed before the board for changing the position and for this Form-32 will be filed with ROC.
