08 June 2009 Whether the Directors Clause of Article of Association can be modified to include new director's name ?

08 June 2009 Do you mean first director name than it cannot be modified and for every appointment, name of director is not required to be included in AoA.
Otherwise any clause in AoA can be modified by passing special resolution u/s 31 of Companies Act, 1956.

08 June 2009 First Director clause of AOA can not be altered.

Further Minu no need to alter that clause.
If u appt any new dir no need to give his/her name in the AOA.

Please share the exact problem u r facing. What is the prob to maintain the name of promoter dir in AOA.

10 June 2009 The problem with my co. is the Article was amended last year for the first time to include all directors name therein and it got approval from MCA also. Now, one new director appointed so we have to modify it again but now when we filed form 23 it declined by stating that there is no need of modification in the name of directors in Articles.If we are not doing it now our article will show a wrong information. Please suggest
