Change in share holding pattern

What is the procedure for change in share holding pattern of a private limited company? One promoter gives 30% of his share to a new member. Now this would change the subscription page of MOA.
1. Does this fall under alteration of moa clause?
2. do we need to file MGT-14?

3. Or just transfer of shares form would be enough?
