13 September 2010 Dear All,

Pl. express your views on the following:

A private Limited company wants to change its auditor's at the AGM.

Is Board of Directors authorised to suo-motu change the statutory auditor's (i.e. without getting the special notice from any member)?

13 September 2010 Hi,

There is no issue at all. Board members may also propose new auditor through a BM whose appointment will be subject to the approval of shareholders in the AGM.

This is my understanding. Wait for other expert opinions.

Thanks
