03 September 2011 Dear Sir/Madam,

I work in a Pvt Ltd Co.From record it is found that death of a Director was reported with ROC exactly after 1 year at the time of filing of Annual Return 20B.Is it permissible? Is it not required to be submitted Form 32 separately within 30 days from the date of resignation or death of a Director? May I know the exact rule of the Corporate Affairs from the Experts that what is the rule like in this regard.Because no separate Form 32 was submitted with RO.For this is it no resolution of Board of Directors required?
Because after 2 months of the death of a Director, In Form 20B it is reported that Date of Cessation of a Director is so.Is it the resolution date. Kindly reply as fast as possible as it is urgent.

03 September 2011 The directors' had to convene a board meeting at an early date from the date of death of the then director. With in 30 days from the date of death form 32 had to be e-filed though belated filing is possible with additional fee as prescribed in section 611(2) of the Companies Act,1956.
