09 July 2014 Please provide me the list of documents and formats if any, required for obtaining certificate of commencement of business for a private limited Company under the Companies Act, 2013.

09 July 2014 Please e-file form INC-21 with in 180 days from the date of incorporation of the company. Attach Rs. 25/- stamp paper with that form. No other documents need to be attached / filed. No certificate will be issued by ROC because it is only a compliance provision under section 11(1)(a) of the Companies Act,2013.

However as per section 11 (1) a director has to file a declaration in such form and verified in such manner as may be prescribed, with the Registrar that every subscriber to the memorandum has paid the value of the shares agreed to be taken by him ; and

(b) the company has filed with the Registrar a verification of its registered office as provided in sub-section (2) of section 12.

Declaration and verification of its registered office is to be filed in form INC-21.

There is a mandatory attachment in Form INC-21 i.e Specimen signature in Form No.INC-10.

Can we attach INC-10 uploaded while registering the Company again or do we need to obtain fresh INC-10. Do we have to attach INC-10 of all the promoters/directors.

Do we have to attach board resolution also.

10 July 2014 1.If you have selected 'yes' in column 3 (c) of ING-7 and INC-22 is filed at the time of incorporation, filing of verification as in section 12(2) is not necessary.

2. The same INC-10 (of all promoters)made at the time of incorporation can be attached with INC-21.

3. Board resolution is not a mandatory attachment.
