In case of an One Person Company, is it mandatory to conduct a meeting and prepare minutes of meeting? If Yes, who should be appointed as another director for the purpose of Quorum?

Their was a company which was incorporated on 11/12/2023 ans as per rules its financial year is to be closed on 31 march 2024 and AOC-4 MGT-7 needed to be filed in same year.
But it was not done and in this year AOC-4 & MGT-7 is filed in may month 2024 by taking financial year from 11/12/2023 to 31/03/2025 forms are approved.
So it will create any issue in future?

When we say certified true copy of resolution what does it means? Whether it is photocopy of original board resolution duly certified by director or does resolution is prepared in two copies one original( kept at registered office) and one true copy ( certified by directors)?

I am writing to seek clarification regarding the filing of the annual return for a Section 8 company. This is the first financial year following the incorporation of the company. Kindly note that there have been no donations received during the year, and the paid-up capital is ₹2,00,000.
In this context, I would like to confirm whether the company is required to file Form MGT-7 or MGT-7A for the annual return.
Your guidance on this matter would be greatly appreciated.

2.Now 1 director wants to resign and appoint another director.
3.How can this be done? The MCA portal is not accepting the DIR 12 .
