What is the latest procedure for conversion of OPC to Private Ltd. Co. according to Company Amendment Rules, 2021? Also is transfer of shares concept applicable to this to fulfill the condition of minimum 2 members?

We are having a subsidiary in US. The company wants to enter into an agreement with a company where the holding company Directors are the Directors.
Please clarify whether this agreement should be approved in the Holding company Board meeting.

pl.guide me for the rate of depreciation to be levied as per companies Act in India
on plant & machinery which was used to work 3 shift but in financial year 2020-21its working in single shift. can company charge depreciation at lower rate for the particular year.

if the authorised share capital is 2000000 and the issued ,subscribed and paid up share capital is 1000000.mr.x a share holder holding 60% OF paid up share capital.Now is the owner of the company, the company further issues 1000000 shares to public.
now in this case will mr x is owner of the company as the company
further issued 1000000 more shares

Hey...my ca informed me that he filed from24 and and stk - 2 for closing an LLP and a private llt company, this was done in September of last year, yet when I check the master data at mca it shows both are active...does it usually take this much time?...what should I do to check the status?

I have uploaded Fillip form on MCA portal but getting 2 errors repeatedly 

1) In NOC signature is copy pasted, where as this is not the case. It's a scan copy of the original document.

2) The registered office is a subleased space. I have provided deed between owner and lessee as a proof of lease and also deed between my client and lessee for sublease. But utility bill is in the name of owner , as a result MCA has pointed out an error that name mismatch in Utility bill and NOC

Any help on how to get around these errors will be really appreciated. 

In a Pvt Ltd Co there are 10 shareholders (2 of them are directors) holding 52% of shares (Group-A) and 6 shareholders (2 of them are directors) holding 48% of the shares (Group-B). One of the directors of Group-B died recently.
In this circumstances Group-A wants to appoint a director in please of the deceased director in EGM. Please tell me is it possible without the consent of Group-B?

I applied for a company incorporation in in which a minor error occurred in registered address. My village name is "Ujirhati" but unfortunately wrongly I entered "Urirhati".
Will there any serious problem due to this?
