If a public co. goves gurnatee for a loan obtained by a private company from public financial institution, in which there are common directors, whether section 295 applicalbe on this transaction

is it required to enter the unsecured loan received from directors in register manintained under section 301. as the loan amount changed by time to time, what will be procedure for entering the same.

A pvt ltd co's (i.e.A Ltd)both directors' names are appearing in Defunct Director's List.

As they are director in other Pvt Ltd Co. i.e. B Ltd.and Accounts and Returns of B Ltd are not filed from last 3years.

Due to this we are facing problem in ROC Filing of A Ltd As its both directors have became Defunct Director.

Is there any solution for this?

I am a qualified Company Secretary with having put experience in a listed company. For better carrer prospects, should I look for a job in listed company only. If I move on to unlisted company will it help me to better my carrer. Kindly advise.

Whenever I attend an interview, employer request me to shoulder additional portfolios like Accounts/Finance/Service Tax/ Legal. I don't have any practical experience in these areas. How to handle this? Seniors views are solicited.

xyz pvt ltd inc in june 2010 with azcapital of 1 lacs, in the month of feb11 company received Rs74 lacs amount in the bank through rtgs, director are telling the amount recd is share application money but till company has not increased its azcapital from 1 lacs to 75 lacs, and as on 31st march its interest income is more than business income , so whether company non nbfc can show his interest income more than business income kidnly clarify me on the abouve issue.

i m filing DIN 4 forms and in most of the cases error msg displays father name not matching with it database...... so how can i know father name as per tax database..... the problem is that for majority of them i still don't have there PAN cards with me...... now wat to do. ????

The Private limited company was formed in the month of Sept. 10 and were not aware of the fact about the appointment of the auditor in one month.

Now in month of August 2011 they want to appoint auditors for Comapny Statutory Audit for F Y 2010-11 in Board meeting.

Will the said appointment of first director after expiry of one month (rather 11 months) will be valid ?

If not what is procedure that has to be followed by the company for appointment ?

Please Guide.
