CARO is applicable on pvt co having a paid up capital plus Reserves above 50 Lacs(one of the condition)

Is that Security premium includes in Reserves category for calculating the limit of of 50 Lacs

Dear sir, we are a pvt ltd co., and taken a vehicle loan from our bank . By overlook/mistake we couldnot register charge on it and now we have clear the loan . our banker also knows for for non registation of charge and as the loan is cleared they have not any objection. The loan was taken in last april 09 and cleared in this may 10 .thus we have not registered charge on it we cannot satisfy the same...

Please guide us what step to be taken now....is there is penalty for non registation of charge or registration of charge on this car loan mandotary....

Regarding Minutes 'Leave of Absence'.


ABC Private Ltd has four Directors.

Out of four, two Indian Directors and two Foreign Directors.

Hence, two Indian Directors shall hold board meetings.

Query :

While writing the Minutes for Leave of Absence, what should be written ?

Should we say, The Directors, X and Y (i.e. Foreign Directors) have given leave of absence.


Experts may guide on the above query and thanks for everybody.

We write something on the face of the share certificate when we split it. What exactly do we need to write on it. Also similarly we write somethin on the new certificates coming into existence coz of splitting old certificate. I have gone thru the issue of share certificate rules. Dint find much help in it.

Somebody tell me How can I file form 1 A in case where both of the promoters are companies incorporated outside India.
Query....... I fill name of the applicant in column 2 (representative of the company)
in column 7 I fill name of the foreign companies & their registration number.
While at the time of check form a message showing error appear that name of the applicant & promoter should be same, but there is no option to fill company's name in column 2. Should I fill individuals name (representative of the company)in column 7 ?

I cleared CS exam two years back but not shown interest to become a member. My company proposed me to act as official CS for one of the division which got de-merged to form separate legal entity which increased paid up capital more than 20crs from Feb 2010. Can I apply to ICSI for getting exemption of 15 month showing as provisional CS of the company and appointment is subject to getting membership no from ICSI. Will it have any impact on company.
