One of the company has not filed its annual return and Balance Sheet with ROC for last 2 years. What are the consequences that company may have to face???

it is necessary to give affidavit of all the directors of proposed holding and subsidiary company.

if possible plz give me the format of documents which are required to obtain certificate of subsidiary from Registyrar of companies.

Pref issue of warrants

Dear Experts,

Request please share a detialed Checklist for Preferential issue of warrants.
Also, please let me know, whether for preferential issue, Co is required to obtain an in-principle approval from Stock Exchange.

Member in another company

Can a company can become the member in another company? if yes what are the pre-requistes for a company to obtain shares in other company? any resulutions is required?.

A company registered under health care(Company) can this allow one of its employee to become a share holder what are the sections to be verified under the Companies Act.
