We are a listed Company having Authorised capital of Rs. 6 Crore. The paid up capital of the Company id Rs 5.9 Crore out of which promoters group holds 55%.

Now my question is whether one of the promoters who is relative of the promoter Director can gift his shares to the promoter Director without any consideration?

If yes then what is the limit upto which it can be done as the SEBI Guidlines and Listing Agreement?
Also suggest me the cost of stamp paper for executing the transfer.

I want to know the information about the transferation of shares of private limited company.

XYZ company having shares of ABC ( A Pvt Ltd company).

1. My Quation is that, can we transfer the shares of ABC company from XYZ comapny to PQR company ( Other company) ? The owner ( shares holder) are same for XYZ and PQR company.

My next quation is that, can we transfer the shares of ABC company from XYZ to the owner ( share holder) of XYZ company.

if yes, then please tell me all the share transfer procedure in details?

Sec 78 of companies act says that share issue expenses can be adjusted against securities premium a/c. what if the issue has failed & the amount has to be returned to the investors. Can the issue expenditure still be adjusted against the securities premium we have of some previous issue...???
Please provide with some link also if possible.
And kindly revert ASAP.
