Can increase of authorized capital? then issued after that subscription of share with very high security premium within a month creates any problem???
or
Is it any time limitation between increased of authorized capital then issue and subscription of it with a security premium.

I am planning to incorporate a company for a startup project. I would be having major shareholding (around 75-80%). One of my friend would be having the rest of the shareholding.

I want to allot shares to my friend in such a manner that he is not in a position to sell all shares before 4-5 years to any third person.

Can we have an agreement that out of 20% shares allotted to him, he can sell only 4% per year ; thereby locking his investment for 5 years?

Hi, Why do FIIs invest in India? I understand that there is a big difference in US and India's Interest rate. So FII borrow from US with cheap interest and invest in the stock market in India. But why don't they just borrow from US and invest in US itself? After all it is the biggest economy?...
