How turnover is calculated in case of trading in F & O?
I want to know that F & O transactions are treated as business income or it is shown as investment when accounting?

I am planning to incorporate a company for a startup project. I would be having major shareholding (around 75-80%). One of my friend would be having the rest of the shareholding.
I want to allot shares to my friend in such a manner that he is not in a position to sell all shares before 4-5 years to any third person.
Can we have an agreement that out of 20% shares allotted to him, he can sell only 4% per year ; thereby locking his investment for 5 years?
