Query regarding Board Resolution Date in Form 20B - Annual Return.
Kindly clarify me on the following :
Date of BOD resolution : 01.09.09
Date of AGM : 25.09.09
In Form 23AC & Form 23ACA, I am putting the date of BOD resolution as 01.09.09. This must be OK.
But, in Form 20B, can I put the same date i.e. 01.09.09 ?
or
Which is the appropriate date (i.e. whether separate BM on the AGM date) to mention in Form 20B ?
Await experts reply on my query.

Here you have to mention board meeting date only, generally companies will conduct one baord meeting before or after the agm on the same day.

Suggest to convene a board meeting on the AGM date itself and mention that date in all the three e-forms referred above.

You can convene a BM on the next day of AGM for authorising director to sign and submit e-forms and mention that date for filing all Annual Filing Forms.

First understand authorisation to sigh physically annual return and authorisation to sign E-form 20B are two different issues.
For signing form-20B you can 100% use the date of 01.09.2009.
However for physically signing the annual return a board meeting is strongly recommended and you may hold this BM on the day of AGM. Also appreciate if are not interested to hold this BM on the day of AGM, then also nobody can challange the physical signing (without specific authorisation) on the Annual Return.
