22 September 2011 dear sir,

i need board resolution for changing my auditors as company sifted its registered office from one state to another,
apart from that i need to know in which meeting this resolution is required to be passed??????

24 September 2011 Dear Frnd,

You can change auditors only on general meetings wrt Sec 225 by passing ordinary resoln ! A Special Notice is required for removal before the 14 of general meeting and after new appointment within 7 days of appointment intimate to auditor. and form 23b is required to file by auditor with his consent to roc within 30 days.
