APPROVAL OF DIRECTOR EXPENSES:

The Chairperson placed before the Board a statement containing the details of foreign expenses incurred by Mr. , Director during foreign trip on behalf of the company for approval of the Board. The Board after detailed discussions passed the following resolution:

“RESOLVED THAT foreign expenses as incurred by the Director as shown in the statement containing the details of expenses incurred by the director and duly initialed by the Chairperson for the purpose of identification be and is hereby approved and re-imbursed from the Company’s Fund.”

10 July 2012 sir, Please tell me that in case of foreign trip expenses incurred by the company we have to pass any board resolution or not? if yes then how it is drafted?

Generally it is not required to pass in Board meeting, because it is in general nature for promotion of business.

I think, there is no need to take approval for this. It is a routine business and for this only confirmation of their HOD is sufficient. Generally Board not deal such matters.
