27 June 2009 hey,

If XYZ auditors are mentioned for appointment in the notice for the AGM and before the AGM, XYZ expresses unwillingness to act as auditors. Can auditors other than such an auditor be appointed at the AGM. The notice has already been issued to the members.is the applicability different in case of a private company?

ITs correct that Auditor has to be appointed or reappointed in ensuring AGM. but as far as ur case is concerned when auditor has expressed his unwillingness to be reappointed or to be appointed before AGM then what u need to do is to issue short period notice within 7 days before AGM with explained statement otherwise auditir can be appointed as other member of the co. suggest and approval therof is obtained in the meeting.
