25 September 2013 Hi,

Dear all my query is that, can we appoint a person(s) as Whole time Director in the Pvt Ltd Company without paying remuneration?

Also, Which Sections shall be applied as per the provisions of Companies Act, 1956 for making the necessary appointments?

Also calrify, do we need to consent of the members of the Company in general meeting, or boards approval will suffice the requirement?

Also clarify, which Forms needs to be filed with MCA for making such appointments?

The provision of section 269 deal with appointment of managing director/WTD/manager is not applicable to private limited company.

A private company will appoint WTD in accordance with AOA of the Company. If AOA is silent then made changes in its AOA accordingly.

You can appoint him at Board Meeting without paying any remuneration.

you will only file Form-32 for change in designation of director with ROC with in 30 days from the date of appointment.
