Appointment of managing director in a governmnet company

20 October 2011 In case of a Government Company can Managing Director be appointed on the basis of government orders for his appointment without the approval of Board of Directors. If the approval of the board is necessary then what will be the date of his appointment the date of government order or date of board meeting.

I think Schedule XIII is not applicable in case of Government Companies hence the approval of the shareholders is not necessary.

31 October 2011 In case of Government Company, Government Orders is enough and the date of Appointment if mentioned in the Order shall be the date of his appointment and if no date mentioned then the date of Orders shall eb the date of Appointment. Form 32 shall be filed on that basis.

However, the Orders shall be palced before the Board for noting in the following Board Meeting.
