my co. formed june 2011 & till date i cannot appoint auditor pls anyone explain me how i appoint first auditor what are the requirement for that. is there any requirement requirement to file form 23B with roc.

23B is required to be filed. The auditor may be appointed in the general meeting.

First auditors of the company should be appointed by the Board withing one month of the incorporation of the Company.
However, if the Board fails to appoint a auditor within that period the Company in General Meeting appoint the auditor.
Now you have to call an EGM and appoint the Auditor and file form 23B on behalf of Auditors.
Certified copy of Ordinary Resolution is to be attached withe Form 23B.
