ours is a private company and we want to change our Director ,
and want to add a new Director in place of him .
Kindly let us know can we do both at a time ? with a single resolution ?

Appointment & resignation of director can be done in the same meeting. Seperate resolution need to be passed for resignation of director and appointment of new director.
