25 January 2010 I wanted to know that if a Company is required to appoint a whole-tme Company Secretary and it fails to comply with such requirement, is there any immunity that the Company has? What should the Company do now?

25 January 2010 As per section 383A financial disability to appoint CS may be considered as an immunity.

Read section 383A properly.

26 January 2010 Alternatively, it shall also be a defence to prove that all reasonable efforts to appoint a CS were made.
