Appointment of auditor

Section 8 Company has been incorporated on 21 oct-15, but no auditor has been apppointed till date i.e 25feb-16. Whether auditor can be appointed now by convening an E.G.M and whether there attracts any penalty apart from Additional filing fee with ROC.

Its default of section 139 in EGM also you have to appoint with in 90 days.
