can a private company who's paid up capital less then 20 crore appoint auditor for a term of 5 year. plz rply I m little confuse on this topic

Yes you can appoint Auditor for 5 years. Section 139(1) and 139(2) are different.
Rotation provisions are not applicable on your company. But you have to appoint your auditor for 5 years under 139(1).
