01 February 2011 wHETHER A PRIVATE LIMITED COMPANY WHO WANTS TO APPOINT TWO ADDITIONAL DIRECTORS WILL HAVE TO PASS SEPERATE RESOLUTION FOR EACH ADDITIONAL DIRECTOR TO BE APPPOINTED OR WHEHTER BOTH THE DIRECTORS CAN BE APPOINTED BY THE BOARD IN A SINGLE RSOLUTION??

01 February 2011 In my opinion, in case of an Independent Private Company, no need to appoint a person as Additional Director in the Board Meeting first and then regularize him in the AGM/EGM of the Company. A person can directly be appointed as Director of the Company in the Board Meeting of a Private Limited Company.

The answer to your query is that both the persons can be appointed as Directors of the Company be means of a single resolution to be passed in the Board Meeting of the Company.
