13 October 2014 If a director is appointed in the middle of the year, His tenure expires at the next AGM. And he shall be an additional director, not a director.
Am i right?

13 October 2014 An Additional Director is appointed only up to the next AGM. In the AGM is post become vacant automatically.

If you want to keep him in board you have to regularise him as regular director by passing resolution in the AGM.
