a private Company, registered in india, and having two number of members out of which both are directors and staying outside india. Can a company hold AGM outside India.

AGM may be held at places (including a foreign country) other than at the registered office of the Company or at some other place within the city, town or village in which the registered office of the Company is situated, subject to compliance of various stipulations regarding maintenance of records, notice and other statutory compliance to be fulfilled

The company is situated in India and all books of accounts are maintained in India on its registered office itself. In this case can I conduct an AGM outside India?

All Compliances such as as you have to issue 21 days Prior notice to share holder . AGM Should be conducted on Working day Within Business Hours.

Hi, as per provisions of the Companies Act, a company can not hold AGM outside India.
As per Section 96, AGM shall be held either at the registered office of the company or at some other place within the city, town or village in which the registered office of the company is situated.

As per the provisions of Companies Act AGM cant be held out side india
