What is the detailed procedure for e-filing of annual returns under the Companies Act for Sec. 25 Co. not having Directors.
the officers signing the physical returns in the previous years have been the Chairman and the Secretary of the Association.
whether application for Din is required?
If so whether DIN2 &DIN 3 to be filed?
Whether any changes in Co. data to be done before filing of the return are after?

Hi Mr.Hegde,
There shall be no change in the books of account for the purpose of e-filing of return.
Further, the e-filing shall be done in Form ITR-6.
Incase you donot have a digital signature, you will have to file Form V. This is optional to digital signature.

please note thatthe query is not regarding filing under the Income Tax Act. but under the Companies Act

first thing is that for section 25 company without share capital 2 Digital signatures are required to file the A/R
Form No.21A should be used for filing of Annual Return(schedule V)
No options are available in filing of Form No.21A
The form No. 23 Ac should be used for filing of balance Sheet and Form No. 23ACA should be used for filing of P & l account.
if Company is with Share capital Noramal Annual return is requird to file in form No.20B
and if paid up capital is more than rs.10 lakhs then compliance certificate from the Practicing CS is requird and should be filed in form No.66
Form No.21A should be used for filing of Annual Return(schedule V)

See Secretary which you have mentioned is Secretary as it is defined under the companies Act 1956. or is the designationed which associatuion is using?
see if it is a secretary as per companies Act then it is complisary for secretary also to have a Approved Din number.
so in your case chairman and secretary both should have DIn numbers if they are the Directors and Secretaries as per Companies Act.
