Alteration of memorandum

10 January 2012 there is X Pvt ltd. in which subscribers and directors are same & the profession of director stated in memorandum is an advocate,now the director wants to change his profession from advocate to businessmen. I just want to know the procedure for above change as per companies act with reference to sec. for clarity in understanding.
