AGM should be held

1) 15 months time from last AGM
2) 6 months from the close of Financial year

Which ever earlier


Board Meeting
As per section 285
Must be held in
1) 4 times in year and
2) one in each quarter

Penalty
As 168 - Contravention of sec 166 not holding AGM is Rs 50000 and further fine of rs 2500 per day
