Have to make admission of 2 new directors in a pvt Ltd company with 60% shares transfer to new directors and make them permanent directors too.

What forms required to be filed by the pvt Ltd Co? What all docs required

08 February 2018 Appointment of New Director and Transfer of Shares are altogether different method and to be followed separately

For Appointment of Director, you need to follow steps as under:
1: check whether such proposed director has valid Director Identification Number (DIN) or not
2: In case of No DIN, apply for digital signature and file Form DIR-3 for DIN.
3: Take consent to act as a Director in Form DIR-2
4: Take Board Resolution for appointment as an Additional Director (The period of such director shall be valid up to ensuing Members Meeting and thereafter needs to be confirmed by members of the General Meeting)
5: File DIR-12 with ROC after making relevant payment and attach DIR-2 and board resolution with DIR-12.

For Transfer of Shares
you need to execute share transfer deed in Form SH-4, get relevant sign of transferor and transferee and pay relevant share transfer duty by buying share transfer stamps pursuant to the rules of respective States.
