Additional directors are to be included in total number of directors or not. Are they liable to retire by rotation?

Yes An additional director appointed as per section 161(1) shall be included in the ‘total number of directors’ for the purpose of section 152(6). They are liable to retire by rotation unless article otherwise provide.
