My company in USA wish to acquire a Company in India.

You have to understand the method of acquisition of company in India and for the same you have to state the nature of business and if it is through automatic route than you need not take the permission from RBI Otherwise you have to take the permission from RBI. The ithger matter which is to be looked into the matter shall be who are the directors. ALL Indian then not to worry otherwise also there are other formalities.
