06 August 2012 A Pvt. Co. having a paid up share capital of Rs 15 Cr is unable to appoint a whole time CS. But its own M.D is qualified CS from icsi & co. has only 2 directors. Can a Co. appoints his MD as a whole time cs???

As per 383A (1), where the Board of Directors of any company comprises only two directors, neither of them shall be appointed as Company secretary of the Company.

06 August 2012 In such a case, according to regulation 82(2) of Table A, a director may be appointed as secretary.
