Waiver of quorum

Dear Members,
I have a query. In a committee meeting of a private company, out of three members, two are participating though teleconference and remaining one member is physical present. Please advise if minimum quorum of two members be waived by the members of the Committee. Articles is silent on waiver.

Firstly according to co act 2 person must be personally present whether through video conferencing if the member are not present within half an hour of the meeting then meeting will be adjourn. teleconferencing is not consider as personally present. so the meeting is void
