Validity of appointment of director

A=Director
B=Additional Director
C=Additional Director

-Now, B&C appoint 'D' as a director without intimate to A.

- B & D are a real brother.

So, my Q. is whether appointment of 'D'as a director by B&C valid???

Please anybody provide me a relevent section of Pvt. ltd Co. for this.

29 November 2011 yes it is valid unless the articles provide that the director cannot be appoint without the consent of other Director.

29 November 2011 Whether Section 286 (Notice of board meeting) is apply here or not???

In my case i think notice of board meeting should be given to Mr. A u/s 286 otherwise all the decision taken in that borad meeting become void.
