A shareholder of private company want to transfer shares at face value, what will be its implication and such transfer is possible?

If the fair market value of the share is more that the face value and the difference exceeds Rs. 50,000/-, then the said difference will be assessed in the hands of the transfree ,subject to certain exceptions , as per section 56 (2)(x)(c).
