Tranfer of shares in pvt ltd company

08 May 2013 M/s ABC Pvt Ltd has two directors and the directors are also the shareholders of the company in 50:50 ratio. Now one director wants to acquire the shares of another director mutually. Do we need to file any documents with the ROC for intimating the transfer? And what all extra formalities need to complied with, if any?

At the time of transfer only board meeting resolution is required to approve the transfer. There is no need to intimate ROC At the time of transfer. At the time of filing annual return of the company, list of transfer held during the year should be given.
