What is the difference between 'Members entitled to attend and vote' and 'Members entitled to vote and present' ?

Members entitled to attend and vote are the shareholders unless their voting right is restricted under section 106
Members entitled to vote and present - are proxies.proxies shall be entitled to vote only on a poll though they are entitled to attend. Even preference shareholder are entitled to attend the meeting but can vote only on matters affecting their rights.
